Terms of Service
for the Zettl service
This is an English translation for information only. The Czech version (Obchodní podmínky) is binding and prevails in case of any discrepancy.
1. Introductory provisions
- 1.1
These terms of service (the “Terms”) govern the rights and obligations between IDEx Corporate s.r.o., Company ID (IČO) 18002161, with its registered office at Kurzova 2222/16, Stodůlky, 155 00 Praha 5, Czech Republic, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert 379847 (the “Provider”), and the Customer in providing and using the Zettl service.
- 1.2
The Provider is not registered as a VAT payer. The Provider's contact e-mail is info@idex-corp.com.
- 1.3
The Terms form part of the contract for the provision of the Service concluded between the Provider and the Customer (the “Contract”). Where the parties agree in writing on individual terms that deviate from these Terms, those individual terms prevail.
- 1.4
Matters not governed by the Contract or the Terms are governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code (the “Civil Code”).
2. Definitions
- 2.1
Capitalised terms in these Terms have the following meaning:
- “Service” means the Zettl web application available at zettlapp.com, including the MCP connector, provided as software as a service (SaaS).
- “Customer” means a business within the meaning of Article 4 that has concluded the Contract with the Provider.
- “User” means a natural person who uses the Service under their own login on behalf of the Customer, including persons the Customer invites to the Service (for example their accountant).
- “Account” means a User's access to the Service, protected by login credentials.
- “Organisation” means a workspace in the Service for one of the Customer's companies, to which further Users can be invited.
- “Plan” means a paid programme of the Service (currently Start and Firma) with the features and limits set out in the Price List.
- “Price List” means the overview of Plans, prices and limits published at zettlapp.com in the Pricing section.
- “Billing Period” means one month, counted from the day the subscription to the Plan started.
- “Trial” means the free trial of the Service under Article 7.
- “Customer Data” means all data entered into the Service by the Customer or Users, or obtained by the Service on their instruction, in particular bank transactions, documents, invoices, client details, budgets and files.
- “Read-only Mode” means a state in which Customer Data can be viewed and exported, but new transactions cannot be downloaded, documents cannot be uploaded and documents cannot be read with AI.
3. Conclusion of the Contract and communication
- 3.1
Access to the Service is currently requested through a form at zettlapp.com. The Provider reviews requests and decides on approval at its discretion; there is no legal entitlement to approval. The Contract is concluded when the Provider makes the Account available to the Customer. If the Provider opens registration without approval, the Contract is concluded when registration is completed.
- 3.2
Before sending a request or completing registration, the Customer accepts the Terms by ticking the relevant box. On request, the Provider will send the Customer the version of the Terms that applied when the Contract was concluded.
- 3.3
Whoever requests access, registers, accepts the Terms or orders a Plan on behalf of the Customer declares that they are authorised to do so.
- 3.4
The Contract cannot be concluded by accepting an offer with an addition or deviation; Section 1740(3) of the Civil Code does not apply.
- 3.5
The Contract is concluded for an indefinite period. A paid Plan is always agreed for one Billing Period and renews automatically under Article 8.
- 3.6
The parties communicate electronically: the Provider to the e-mail address of the Account that ordered the Plan or created the Organisation, and through notices in the Service; the Customer to info@idex-corp.com. A message sent by e-mail is deemed delivered on the business day following its dispatch. The Customer keeps their e-mail address up to date.
4. Who may use the Service
- 4.1
The Service is intended exclusively for businesses: companies, other legal entities and natural persons who use the Service in the course of their business or in the independent exercise of their profession. The Service is not intended for consumers.
- 4.2
When concluding the Contract, the Customer declares that they are a business and use the Service for the purposes of their business. Consumer protection laws therefore do not apply to the Contract. The Provider may ask the Customer for their Company ID and verify it in a public register.
- 4.3
The Service's private mode (a personal budget of recurring expenses) is an ancillary feature of a Service contracted by a business. Using it does not make the Customer a consumer.
- 4.4
Only persons aged 18 or over may be Users. Users are invited to the Service by the Customer, who ensures that they comply with the Terms and is responsible for their conduct in the Service as for its own.
5. The Service
- 5.1
Within the scope of the chosen Plan, the Service in particular lets the Customer:
- download transactions from Fio banka accounts through the Fio banka API and upload bank statements in GPC/ABO and CSV formats;
- read data from documents (receipts and invoices) using artificial intelligence (“AI”), including documents forwarded by e-mail and files from a connected Google Drive;
- automatically match payments with documents and with issued invoices;
- issue invoices with a QR payment code and company details loaded from the ARES register;
- keep a budget of recurring payments and analytics of income and expenses;
- prepare files for the accountant (a PDF bundle of documents, CSV, XLSX and ISDOC exports);
- connect an AI assistant via the MCP protocol (Article 11.4).
- 5.2
The Provider continuously develops the Service and may change, add or remove features. The Provider will notify the Customer at least 30 days in advance of the removal or material limitation of a feature that the Price List lists for the Customer's Plan. The Customer may then terminate the Contract with effect from the date of the change; the Provider will refund the pro-rata part of the prepaid price for the period after the Contract ends.
- 5.3
The Provider makes reasonable efforts to keep the Service available at all times but does not guarantee availability or response times. The Service may be interrupted for maintenance and updates, outages of third-party services (in particular Fio banka and hosting and AI providers) or force majeure. The Provider carries out planned maintenance outside business hours where possible and announces longer outages in advance in the Service or by e-mail.
- 5.4
Reading documents with AI and matching run automatically, and their results may be wrong or incomplete. The Service applies a match with a score of at least 70 out of 100 automatically, without confirmation by a User; based on a verified incoming payment it may also mark an issued invoice as paid. A match of a document with a payment can be undone in the Service with one click; an invoice the Service marked as paid is reverted by changing its status. The Customer must check the results (extracted data, matches and invoice statuses) before using them, in particular in accounting or tax filings.
- 5.5
The Service is not accounting or tax advice and does not replace an accountant, a tax advisor or bookkeeping under Act No. 563/1991 Coll., on Accounting. The Customer is responsible for the correctness of its accounting and tax filings and for archiving documents for the periods required by law.
- 5.6
The Provider is not affiliated with Fio banka, a.s., and the Service is not a Fio banka product. The connection uses the API that Fio banka offers its clients. The Customer creates the API token in their internet banking, decides on its permissions and is responsible for protecting it. The Service only needs a token with the permission to monitor the account; the Provider recommends not using any other token. The Service stores the token encrypted and uses it only to download transactions. The Customer may remove the token in the Service or revoke it in their internet banking at any time.
- 5.7
The Provider provides support by e-mail at info@idex-corp.com on business days, without a guaranteed response time. Requests from Customers on the Firma Plan are handled with priority.
6. Plans and prices
- 6.1
After the Trial ends, the full Service can only be used under a paid Plan or with free access under Article 6.6. The features, prices and limits of the Plans (in particular the number of companies, Fio banka accounts, Users and documents read with AI per month) are set out in the Price List valid when the Plan is ordered or renewed.
- 6.2
Prices are stated in Czech crowns (CZK) and are final. The Provider is not a VAT payer and therefore does not charge VAT.
- 6.3
When the Customer reaches a limit of their Plan, the Service may refuse to add a further account, User, company or document to be read with AI until the Customer upgrades or the next calendar month begins. Limits never restrict viewing or exporting Customer Data.
- 6.4
The Provider may change the prices and limits of the Plans. The Provider will notify the Customer by e-mail at least 30 days in advance of any change that is unfavourable to the Customer and will apply it no earlier than from the first Billing Period starting after the change takes effect. If the Customer does not agree with the change, they may cancel the subscription at the end of the current Billing Period (Article 9.4); if they do not, they are deemed to have accepted the change.
- 6.5
If the Provider becomes a VAT payer, it will notify the Customer at least 30 days in advance whether prices remain final or VAT will be added. Adding VAT is a price change under Article 6.4; until it applies, the Provider bears the VAT.
- 6.6
The Provider may grant selected Customers (for example partners) free access to a Plan, for an indefinite or a set period. Free access is not a paid Plan: the Customer pays nothing for it, and Articles 8 and 9 do not apply to it. The features and limits are those of the Plan to which access was granted. There is no legal entitlement to free access.
- 6.7
Free access for a set period ends when that period expires. The Provider may end free access for an indefinite period by notifying the Customer by e-mail at least 30 days in advance. When free access ends, the Customer may order a paid Plan; otherwise the Account switches to Read-only Mode and Customer Data is retained under Article 10.3.
- 6.8
Customers who used the Service before paid Plans were launched have free access to the Firma Plan until the Provider notifies them that it ends, as set out in Article 6.7.
7. Trial
- 7.1
A new Customer may try the Service free of charge for 14 days within the scope of the Firma Plan. The Trial starts when the Account is made available. No payment card is required.
- 7.2
The Trial can be used only once per person who started it; creating another Organisation does not restart it.
- 7.3
If the Customer does not order a paid Plan by the end of the Trial, the Account switches to Read-only Mode. The Customer incurs no payment obligation and nothing is charged automatically. Customer Data is retained under Article 10.3.
- 7.4
If the Customer orders a Plan during the Trial, the remaining days are not lost: the first payment is charged on the day the Trial ends. If fewer than 2 days of the Trial remain, the first payment is charged when the Plan is ordered.
8. Payment and invoicing
- 8.1
The price of a Plan is paid in advance for each Billing Period. Payments are processed by the Stripe payment gateway (Stripe Payments Europe, Ltd., Ireland). The Customer enters payment card details directly with the payment gateway; the Provider has no access to them. The Customer can pay by card and by other methods the payment gateway offers.
- 8.2
At the end of each Billing Period the subscription renews automatically for the next Billing Period, and the price is charged to the stored payment method until the Customer cancels the subscription (Article 9.4). By ordering a Plan, the Customer agrees to recurring charges.
- 8.3
The Provider issues an accounting document for every payment received. As the Provider is not a VAT payer, the document is not a tax document. The Provider sends the document by e-mail; it is also available in the payment gateway's customer portal, accessible from the Service. The Customer agrees to electronic documents and is responsible for the correctness of the billing details (name, registered office, Company ID) they provide.
- 8.4
If a payment cannot be charged, the payment gateway retries it over the following days and the Provider asks the Customer by e-mail to update the payment method. For at least 14 days from the due date the Service works in full. If the price remains unpaid after this period, the Account switches to Read-only Mode; full access is restored after payment.
- 8.5
The price paid for a Billing Period that has started is not refunded, even if the Customer stops using the Service or cancels the subscription before the period ends. This does not apply where the Terms expressly provide for a pro-rata refund (Articles 5.2, 13.3 and 16.3) or where the law requires a refund.
9. Changing the Plan and cancelling the subscription
- 9.1
The Customer may change the Plan at any time in the Service settings.
- 9.2
An upgrade takes effect immediately. The pro-rata price difference for the rest of the current Billing Period is charged by the payment gateway immediately or with the next payment. On a downgrade, the unused part of the price is converted into a credit that reduces future payments; credit is not paid out.
- 9.3
After a downgrade, data beyond the scope of the lower Plan (for example additional companies, issued invoices or budgets) is retained and can still be viewed and exported. However, new items beyond the scope of the lower Plan cannot be created.
- 9.4
The Customer may cancel the subscription in the Service settings at any time. Cancellation takes effect at the end of the current Billing Period: until then the Service works in full, and no further payment is charged. The Account then switches to Read-only Mode. The Customer may withdraw the cancellation until the end of the Billing Period.
- 9.5
Cancelling the subscription does not delete the Account or Customer Data (Article 10.3). The Customer may delete the Account in the Service settings at any time; deleting the Account terminates the Contract.
10. Customer Data
- 10.1
Customer Data belongs to the Customer. The Provider processes it only to the extent necessary to provide the Service, to keep it secure and to comply with its legal obligations. The Provider does not sell Customer Data, does not use it for other purposes and does not use it to train AI models.
- 10.2
The Customer may export Customer Data at any time (a JSON data export, CSV, XLSX and ISDOC exports of invoices and documents, and a PDF bundle of documents), including in Read-only Mode and after cancelling the subscription.
- 10.3
After the Trial ends without a Plan being ordered, after the subscription ends, or after free access ends, the Account remains in Read-only Mode for 12 months. The Provider then notifies the Customer by e-mail that it will delete the Account and Customer Data, and deletes them no earlier than 30 days after that notice unless the Customer orders a Plan in the meantime. Deleting the Account terminates the Contract.
- 10.4
If the Customer deletes the Account themselves, the Provider deletes, without undue delay and within 30 days at the latest, the Customer Data in the database and the document and logo files the Service holds for the Customer; they disappear from backups as they rotate within a further 30 days. Files no longer linked to any record (for example of documents deleted earlier) may not be removed this way; the Provider removes them within 30 days of a request sent to info@idex-corp.com. Data of an Organisation in which other Users remain stays with that Organisation. Deletion is irreversible, so the Customer should export the data beforehand.
- 10.5
The Provider backs up data regularly. Backups serve to restore the Service after a failure, not to restore individual records at the Customer's request. The Customer is responsible for keeping its own copies of Customer Data, in particular for archiving required by law.
- 10.6
In processing personal data contained in Customer Data, the Customer is the controller and the Provider the processor; their relationship is governed by the Data Processing Agreement, which forms part of the Contract. Personal data of Users that the Provider processes as a controller is described in the Privacy Policy.
11. Third-party services
- 11.1
The Service relies on third-party services, in particular the Fio banka, a.s. API (downloading transactions), the Stripe payment gateway (payments), Supabase (database, sign-in, file storage and server functions), Vercel (hosting and the Vercel AI Gateway, through which documents are passed to Google's AI model for processing) and Cloudflare (form protection, receiving e-mails and backups). The full list of personal data processors is in the Privacy Policy.
- 11.2
The Provider is not responsible for the availability and functioning of third-party services it cannot influence (in particular the Fio banka API and the ARES register). If a third party changes its service so that the Service can no longer use it, Article 5.2 applies.
- 11.3
Optional integrations, such as the Google Drive connection, are switched on by the Customer. Their use is also governed by the terms of their providers.
- 11.4
A User may connect a third-party AI assistant (for example Claude) to the Service via the MCP connector. Connecting requires signing in to the Service and explicit approval by the User, who chooses one Organisation and the scope of access: either read-only, or also write (matching documents with payments, categorising transactions and changing an invoice's status). The assistant then accesses that Organisation's Customer Data on behalf of the User. Data the assistant obtains from the Service is processed by the assistant's provider under its own terms. The Customer is responsible for actions the assistant takes within the granted access as for actions of the User. A connection can be revoked at any time in the Service settings (Integrations); revocation is immediate.
12. Acceptable use
- 12.1
Neither the Customer nor Users may:
- use the Service in breach of the law, in particular to issue false documents, evade taxes or launder the proceeds of crime;
- upload content they have no right to use, or malicious code;
- attempt unauthorised access to other customers' data or the Provider's systems, or circumvent security, Plan limits or other technical restrictions;
- place an excessive load on the Service, in particular by automated data extraction outside the interfaces the Service offers for that purpose (export, MCP connector);
- share login credentials, give third parties access to an Account other than by inviting Users, or resell the Service or provide it to others as their own service;
- reverse engineer or decompile the Service, unless expressly permitted by law.
- 12.2
The Customer protects its Users' login credentials and notifies the Provider without undue delay of any suspected misuse of an Account.
13. Suspension and termination
- 13.1
The Provider may temporarily suspend access to an Account or part of the Service where necessary to avert a security risk or harm to other customers or the Provider, or on reasonable suspicion of a material breach of the Terms. The Provider informs the Customer of the suspension and its reason without undue delay and lifts it as soon as the reason ceases.
- 13.2
If the Customer materially breaches the Terms (in particular Article 12) and does not remedy the breach within a reasonable period of at least 7 days after being asked to, or if the breach cannot be remedied, the Provider may withdraw from the Contract with immediate effect. The price paid is not refunded in that case. Unless the law or security reasons prevent it, the Provider will allow the Customer to export Customer Data for 30 days after withdrawal. Non-payment is handled under Article 8.4, not by withdrawal.
- 13.3
The Provider may terminate the Contract without giving reasons with a notice period of 3 months, for example when discontinuing the Service. The Provider will refund the pro-rata part of the prepaid price for the period after the Contract ends.
- 13.4
The Customer may end the Contract at any time by deleting the Account (Article 9.5), and in the cases under Articles 5.2 and 16.3.
- 13.5
The end of the Contract does not affect provisions that by their nature are meant to survive it, in particular Articles 10, 15 and 17.
14. Intellectual property and licence
- 14.1
The Service, in particular its software, design, databases and marks including the Zettl name and logo, is protected by intellectual property rights belonging to the Provider or its licensors.
- 14.2
For the duration of the Contract, the Provider grants the Customer a non-exclusive, non-transferable licence to use the Service for its business within the scope of the Plan and the Terms, without the right to grant sublicences. Users use it on behalf of the Customer. The licence fee is included in the price of the Plan; during the Trial and with free access the licence is free of charge.
- 14.3
The Customer authorises the Provider to store, process and display Customer Data and to pass it to processors to the extent necessary to provide the Service.
- 14.4
The Provider may use suggestions and feedback about the Service that the Customer sends free of charge to improve the Service.
15. Liability
- 15.1
The Customer reports defects of the Service (for example a malfunction or unavailability) without undue delay to info@idex-corp.com. The Provider will remedy them within a reasonable time.
- 15.2
The Provider is not liable for harm caused by:
- an incorrect or incomplete result of document reading or matching that the Customer failed to check contrary to Article 5.4;
- incorrect or incomplete data from third parties, in particular from the Fio banka API, the ARES register or uploaded documents;
- unavailability of the Service or of third-party services in the cases under Articles 5.3 and 11.2;
- misuse of login credentials or the Fio banka token on the Customer's side, or actions of an AI assistant the Customer connected (Article 11.4);
- the Customer's accounting, tax and other decisions.
- 15.3
The Provider does not compensate lost profit, loss of business opportunity, or indirect or consequential damage.
- 15.4
The total compensation the Provider pays the Customer for all damaging events related to the Contract is limited to the amount the Customer paid the Provider for the Service in the 12 months before the damaging event. If the Customer has not paid anything yet (for example during the Trial or with free access), it is limited to CZK 1,000. Given the price of the Service and all circumstances, the parties consider this limitation reasonable.
- 15.5
The limitations and exclusions of liability in this Article do not apply to harm caused intentionally or through gross negligence, to harm to a person's natural rights (Section 2898 of the Civil Code), or in other cases where the law does not permit them.
16. Changes to the Terms
- 16.1
The Provider may amend the Terms to a reasonable extent (Section 1752 of the Civil Code), in particular because of changes to the Service or the Plans, the law or security.
- 16.2
The Provider notifies the Customer of a change by e-mail and in the Service at least 30 days before it takes effect, with a summary of the main changes and a link to the new version.
- 16.3
The Customer has the right to reject the change and to terminate the Contract for that reason. The notice must reach the Provider by e-mail before the change takes effect; the Contract then ends on the day before the change takes effect. The Provider refunds the Customer the pro-rata part of the prepaid price for the period after the Contract ends.
- 16.4
If the Customer does not reject the change before it takes effect, they are deemed to have accepted it.
- 16.5
Changes solely in the Customer's favour and purely formal changes (for example correcting a typo or contact details) may take effect upon publication.
17. Final provisions
- 17.1
The Contract and the Terms are governed by the laws of the Czech Republic, excluding its conflict-of-law rules.
- 17.2
Disputes under the Contract are decided by the courts of the Czech Republic. Under Section 89a of the Czech Code of Civil Procedure, the parties agree that the court with local jurisdiction is the court competent for the Provider's registered office.
- 17.3
The Terms are drawn up in Czech. The English translation is for information only; in case of any discrepancy, the Czech version prevails.
- 17.4
The Customer may not assign the Contract or rights under it without the Provider's consent. The Customer agrees that the Provider may assign the Contract to an acquirer of the Service or a substantial part of it; the Provider will inform the Customer of the assignment in advance.
- 17.5
If any provision of the Terms is invalid or ineffective, the other provisions remain unaffected, and the parties will replace it with a provision that comes as close as possible to its purpose.
- 17.6
Until the Provider launches paid Plans, it provides the Service free of charge and Articles 6 to 9 do not apply. The Provider will notify existing Customers of the launch of paid Plans by e-mail at least 30 days in advance; their free access is governed by Article 6.8.
- 17.7
These Terms, version 2.0, were published on 23 October 2026. They apply to contracts concluded after their publication from the conclusion of the contract. To Customers who concluded the Contract earlier they apply from 15 November 2026; until then the Zettl Platform Terms of Use effective from 21 March 2026 continue to apply to them, and the Provider sends them on request.
